By accessing, purchasing, or using any products or services provided by Onyx Medical Groups, the buyer acknowledges and agrees to be legally bound by these Terms and Conditions, which form a binding agreement between the parties. All orders are subject to acceptance, availability, and verification, and Onyx Medical Groups reserves the right, at its sole discretion, to refuse, cancel, or modify any order without prior notice. All sales are final and non-cancellable, and no returns will be accepted except in strict accordance with the Limited Warranty expressly provided with the product. In the event of a refused or failed delivery for any reason, the buyer shall be fully responsible for all associated costs, including but not limited to round-trip shipping charges, a minimum handling fee of fifteen percent (15%), and any applicable restocking, administrative, or processing fees. Payment obligations must be fulfilled in accordance with the agreed invoice or financing terms, and any amounts not paid when due shall accrue interest at a rate of 1.5% per month (18% per annum), in addition to any collection costs, legal fees, or enforcement actions incurred by Onyx Medical Groups.
All products are provided strictly under a Limited Warranty, which constitutes the sole and exclusive remedy available to the buyer. To the maximum extent permitted by law, Onyx Medical Groups expressly disclaims all other warranties, whether express, implied, or statutory, including, without limitation, any warranties of merchantability, fitness for a particular purpose, or those arising from course of dealing or usage of trade. Product performance is inherently variable and dependent on factors outside of Onyx Medical Groups’ control, including but not limited to operator experience, adherence to training protocols, client characteristics, and treatment conditions. Accordingly, no guarantees, representations, or assurances are made regarding specific results, outcomes, or timelines.
The buyer assumes full responsibility for the proper installation, operation, maintenance, and lawful use of the equipment, including ensuring that all operators are adequately trained and that all applicable local, provincial, federal, and regulatory requirements are met. Onyx Medical Groups shall not be held liable under any circumstances for indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, business interruption, reputational harm, or loss of profits, arising from or related to the use or inability to use the product. Unauthorized modifications, misuse, improper handling, or use outside of intended parameters shall immediately void any applicable warranty and release Onyx Medical Groups from all liability.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. The parties agree that any disputes, claims, or proceedings arising out of or related to these terms shall be brought exclusively before the courts located in Ontario, and the buyer irrevocably submits to the jurisdiction of such courts.
